Rapid Response Generators, LLC

1. Acceptance of Terms

By accessing, enrolling in, or using services provided by Rapid Response Generators, LLC (“RRG,” “Company,” “we,” “us,” or “our”), you (“Member,” “you,” or “your”) agree to be bound by these Terms & Conditions, including the Membership Agreement and any incorporated Exhibits.

If you do not agree, you may not use our services.

2. Overview of Services

RRG provides priority-based emergency generator deployment services during qualifying power outages.

Membership provides priority access to generator deployment based on tier level, but does not guarantee:

  • Uninterrupted power
  • Permanent electrical service
  • Immunity from grid failure

All deployment is subject to:

  • Safety conditions
  • Fleet availability
  • Fuel availability
  • Geographic routing
  • Force majeure events

3. Membership Agreement (Incorporated)

All Members are bound by the official Membership Agreement, which includes:

  • Membership tiers and pricing
  • Deployment priority structure
  • Service level targets (SLAs)
  • Fuel policies
  • Equipment responsibilities
  • Payment terms
  • Arbitration and liability limitations

By enrolling, you acknowledge and agree to all terms contained in the Membership Agreement and incorporated Exhibits.

4. Membership Tiers

Membership applies to one registered service address and includes the following tiers:

BASE – $649/year

  • Activation after Medical / Priority tiers
  • Target deployment: up to 48 hours
  • 72 hours included runtime
  • Fuel billed after included runtime
  • Overage rental rates apply
  • Transfer switch coordination included

PRIORITY – $799/year

  • Activation after Medical tier
  • Target deployment: up to 24 hours
  • 120 hours included runtime
  • Reduced overage rates
  • Fuel coordination assistance
  • Transfer switch coordination included

MEDICAL – $1,099/year

  • First-tier activation priority
  • Target deployment: up to 12 hours
  • 7+ days included runtime
  • First fuel refill included
  • Priority retrieval
  • Dedicated support line
  • Requires Medical Addendum (Exhibit A)
  • Transfer switch coordination included

5. Enrollment Fee

A one-time $199 enrollment fee is required at signup:

  • Non-refundable
  • Covers onboarding and service setup
  • Does not apply toward membership dues

6. Deployment & Service Levels

Deployment is prioritized as follows:

  1. Medical
  2. Priority
  3. Base

Within tiers, deployment is based on:

  • Outage confirmation time
  • Geographic efficiency
  • Operational logistics

Important:
All deployment timelines are targets, not guarantees.

Delays may occur due to:

  • Severe weather
  • Road closures
  • Fuel shortages
  • Government restrictions
  • Fleet exhaustion
  • Force majeure

No refunds are issued for delays outside of RRG’s control.

7. Fuel Policy

Runtime varies by membership tier and depends on:

  • Load usage
  • Weather conditions

Additional fuel:

  • Billed at market rates
  • Subject to availability
  • Delivery fees may apply

8. Transfer Switch Requirement

A transfer switch is required for service.

  • Installed by RRG’s licensed electrician partner
  • RRG coordinates scheduling
  • Member is responsible for installation costs
  • Payment processed through RRG during onboarding

9. Member Responsibilities

Members agree to:

  • Provide safe and clear access to the property
  • Operate equipment safely
  • Avoid overloading generators
  • Not tamper with equipment
  • Report issues immediately

Failure to comply may result in service refusal without refund.

10. Equipment Ownership & Damage

All equipment remains the property of RRG.

Members are responsible for:

  • Theft
  • Vandalism
  • Negligence
  • Unauthorized relocation

Damage or loss may result in additional charges.

11. Payment Terms

  • Membership term: 12 months
  • Billed monthly
  • Auto-renews annually unless canceled
  • No partial or unused-service refunds

Due at Signup:

  • $199 Enrollment Fee
  • $600 Transfer Switch Installation
  • First month’s membership payment

Payment Methods:

  • Credit/Debit Card: +$5/month processing fee
  • ACH: No additional fee

Failure to maintain current payment status results in suspension of service eligibility.

12. Late or Failed Payments

  • 5-day grace period to resolve failed payments
  • $25 late fee per occurrence

Accounts 30+ days delinquent:

  • May be terminated
  • May be sent to collections
  • Member responsible for collection costs

RRG will not deploy equipment to delinquent accounts.

13. Dispute Resolution & Arbitration

All disputes shall be resolved through binding arbitration in Tennessee under AAA Consumer Rules.

Member waives:

  • Jury trial
  • Class action participation

RRG reserves the right to pursue collections through court proceedings.

14. Limitation of Liability

RRG’s total liability is limited to the total amount invoiced to the Member.

15. Indemnification

Member agrees to indemnify and hold harmless RRG from any claims, damages, or liabilities arising from:

  • Breach of agreement
  • Negligence
  • Misuse of equipment

16. Force Majeure

RRG is not liable for failure or delay caused by events beyond its control, including:

  • Natural disasters
  • Severe weather
  • Government actions
  • Supply chain disruptions

17. Medical Membership Addendum (If Applicable)

Medical-tier Members must:

  • Provide documentation of medical necessity
  • Maintain backup contingency plans

RRG:

  • Is not a medical provider
  • Does not guarantee uninterrupted power
  • Is not liable for medical outcomes

18. Payment Authorization (ACH & Card)

By enrolling, you authorize RRG to charge your selected payment method for:

  • Membership fees
  • Fuel and overages
  • Damage or service-related charges
  • Late or failed payment fees

Authorization remains active until properly canceled.

19. Cancellation Policy

  • Requires written notice at least 10 business days before next billing cycle
  • Cancellation of payment authorization does not cancel membership obligations
  • All outstanding balances must be paid

20. Data Security

RRG processes payment information in compliance with:

  • PCI DSS standards
  • Applicable federal regulations

Sensitive payment data is encrypted and securely handled.

21. Modifications to Terms

RRG may update these Terms with at least 10 days’ notice via:

  • Email
  • Mail
  • Member portal

Continued use of services constitutes acceptance of updated terms.

22. Governing Law

These Terms are governed by the laws of the State of Tennessee.
